The third was a former executive of a large corporation with no small business experience. After weeks of negotiation, the broker brought me what she called "a great offer" from the former executive. Besides being 25% lower than was acceptable, there was another problem with this "great offer" - the buyer wanted a $650,000 loan from me with no security, and he would not sign a personal guarantee.

You probably know this already, but a personal guarantee is simply a signature saying that the borrower will pay you back. Without a personal guarantee on an unsecured loan, it is virtually impossible to collect money from a business if they decide not to pay. Chances are you have signed personal guarantees, since many suppliers require them of small business owners.

No seller in their right mind would accept a deal with no security and no personal guarantee - and to be blunt, no buyer or broker in their right mind would make an offer without one. But this broker sat with a straight face and suggested I take the offer.

Another key bit of information - when I asked, the broker told me her commission would be coming out of the down payment. Had I accepted this deal, I would have netted about $50,000 up front after taxes and paying the broker's commission, for a company that eventually sold for over $1.1 million. Don't even think of counting that $650,000 the buyer wanted me to lend them because I doubt I would have seen a nickel of it.

This may sound cynical, but in my experience, it is 100% true - everyone you encounter in selling your business will try to take the biggest piece of your pie they can get. That includes buyers, business brokers, professional advisors and anyone else. They will try to grab their slice of YOUR PIE that you worked so hard to build.
